As a Managing Partner of Latimer LeVay Fyock LLC, Cary R. Latimer intuitively understands the challenges faced by the business owners, entrepreneurs, and other professionals he has the privilege to represent. He also knows that the value he provides as counsel not only comes from securing positive outcomes or developing creative solutions, but also the focused, efficient, and cost-effective manner in which he does so.

Cary's practice has a particular emphasis on representing entrepreneurs, investors, and closely held and emerging businesses. Taking a realistic approach that sidelines distracting, irrelevant, or emotional issues, he advises his clients on a host of legal and business matters, including corporate formation and capital structure, financing strategies, corporate governance and other corporate strategic planning, and real estate acquisition and disposition. Cary counsels companies through all stages of growth, including formation, capital raises, and negotiating and consummating vendor and employee agreements, as well as acquisitions, dispositions, mergers, and asset and stock acquisitions.

The relationships that Cary builds with his clients extend beyond providing sound guidance and for their closely held and emerging businesses. He also serves as a trusted advisor for them on estate planning, wealth protection, and business succession matters.

A graduate of the University of Michigan, Cary earned his law degree from Loyola University Chicago School of Law, where he served as Editor-in-Chief of the Loyola University Chicago Law Review. When not helping his clients, Cary likes to spend his time with his wife and three children.  A lover of travel and the outdoors, he is also an avid cyclist, riding his bike to work almost every day.

  • Represents closely-held businesses and their owners in connection with transfers of ownership interests and the acquisition and disposition of businesses and business divisions, including stock and asset sales.

  • Consults with and represents all forms of business with their day-to-day corporate and business legal needs, including advising on employee matters; contract and vendor matters; and disputes with customers and suppliers.

  • Represents small and emerging businesses in connection with corporate formation issues and initial capital raise issues, including advising on type of entity, drafting of shareholders agreements and operating agreements, and preparing related materials.

  • Works extensively with the owners of closely held businesses in connection with their estate plans and succession plans for their business.

  • Works with accomplished professionals and high net-worth individuals in their estate planning, including the drafting of wills, living and irrevocable trusts, powers of attorney and other related documents and materials.

  • Represents successful business owners and entrepreneurs in connection with their personal matters, including the transfer and acquisition of residential real estate.

  • Represents owners of real estate holdings in connection with the transfer of large commercial properties, including customary acquisitions and dispositions as well as tax deferred exchanges.

  • Represents a variety of businesses in connection with their day-to-day real estate needs, including the leasing of office and industrial properties and advising regarding transactions outside of the ordinary course of business.
