Leveraging her broad experience, she works closely with business owners across all industries to advise them on corporate structuring and planning, asset and stock sales, redemption agreements, operating agreements, business licensing, regulatory compliance, private capital raises, alternative finance arrangements, municipal ordinances, and protecting intellectual property rights.

She also assists businesses and entrepreneurs navigate online data privacy and policies, website compliance, website governance, and regulatory documents. As outside general counsel to her clients, Monica handles a wide range of matters, including regulated business licensing, zoning appeals, franchising documents, employment agreements, mergers and acquisitions, corporate governance, commercial leasing, and contracts.

A graduate of (and former rugby player for) the University of Michigan who earned her law degree from Loyola University Chicago School of Law, Monica has published articles and delivered presentations on several topics relevant to the business owners she has the privilege to represent.

In 2020, Monica further demonstrated her commitment to helping small businesses by co-founding the COVID-19 Hospitality Resource Hub, which provides information and resources to owners and operators in the hospitality industry impacted by the pandemic. When not serving her clients or community, Monica enjoys cycling, triathlons, traveling, and just about any outdoor endeavor with her husband, Juan Carlos, and their rescue dog, Frankie.

Counsels business owners and start-ups in connection with their formation and corporate development, mergers and acquisitions, regulatory compliance, corporate governance and growth and securities concerns.

Works with entrepreneurs and companies across all industries in all stages of their business development advising on corporate structuring and planning, business licensing, regulatory compliance, private capital raises, alternative finance arrangements, municipal ordinances, and protecting intellectual property rights.

Assists clients in the tech space navigate regulations in technology transactions, SAAS agreements, non-disclosure agreements, data privacy and policies, website compliance, website governance and regulatory documents.

Drafts and negotiates operating agreements, contracts, licensing agreements, strategic partnership agreements and private placements.

Conducts due diligence and executes all relevant agreements necessary to facilitate business acquisitions and sales.

Prepares franchise documents, bank and alternative financing arrangements, employment agreements, commercial leases, and third-party contracts.

Obtains state and local liquor licenses and other regulated business licensing.

Advises a wide variety of commercial lending and real estate finance transactions, including land acquisition, multifamily, condominium, office and retail space.
